M&A Transaction Services - TMT IndustryA key deliverable of my work is in the form of a financial due diligence report that provides our clients with visibility on the target of the M&A transaction. Key responsibilities include -(a) Analysing go-forward sustainable earnings/EBITDA by way of investigative analyses of non-recurring income and expense, changes in accounting policies, income/expense not expected to be earned/incurred going forward due to spin-offs or synergy benefits, etc.(b) Scrutinizing the current business operations, geographical concentration, customer segmentation, unit economics, etc.(c) Assessing the financial health through various parameters including net cash/debt levels, debt-equity ratio, interest coverage ratio, etc. of the target entity and identifying the material risks, potential liabilities, sustainable profitability level, etc.(d) Analysing the trends and seasonality in business and relating it to the revenue trends and working capital movements.

Statutory AuditRoles and Responsibilities - Understanding of key business operations, identifying business, fraud and process risks and identifying and testing the effectiveness of mitigating internal controls.Reviewing and analyzing financial statements, including cash flows to develop an understanding of the company and to develop expectations to devise audit plans.Extraction and compilation of data from the system to generate reports and perform analysis of financial statement and related ratios such as current ratio, gross profit ratio, return on equity, debt-equity ratio, etc.Reviewing the work of various experts whose work has been used in the preparation of Financial Statements and challenging the assumptions made and conclusions reached by them such as actuarial assumptions, going concern assumption, etc.
