First-chair experience managing the lifecycle of complex civil and commercial disputes, including litigation and appeal in state and federal courts. External general counsel functions for entities in matters requiring negotiation and drafting of commercial agreements, ensuring data privacy compliance or breach response, internal investigations, preparation of responses to external audit inquiries, representation of entities in shareholder disputes, and ensuring regulatory compliance. Assessing third-party subpoenas for institutional clients to ensure proper service of process and implications of privilege and privacy issues. Ensure substantive and procedural compliance with relevant authority in responsive production. Litigation to prevent improper disclosure of protected information. Conducting internal investigations and representing employers in labor and employment related matters. Preparation and review of employment, non-disclosure, and noncompete agreements. Trial experience in first and third-party insurance litigation at all levels of state and federal courts. Researched and analyzed complex insurance coverage issues and prepared coverage opinions arising under primary and excess liability, first-party claims, and other specialty policies. Litigated issues of insurance coverage in breach of contract, extra-contractual, and declaratory judgment actions.

Identified and assessed critical legal issues and potential risks to entity and mortgage-backed security trusts. Reviewed and analyzed trust agreements and deal documents to ensure regulatory compliance. Retention and oversight of outside counsel in state and federal litigation related to wrongful foreclosure, bad faith, violations of TILA and RESPA and state analogs. Reviewed and revised outside counsel pleadings and discovery. Appeared as corporate representative at arbitration and mediation on behalf of implicated trusts.

Prepared documents for use in loan workouts, foreclosure proceedings, and Chapters 7 and 11 bankruptcy and adversarial proceedings. Conducted legal research and prepared internal and client-facing memorandums. Designed a comprehensive manual tracking legislative changes in Maryland foreclosure law and exemplar forms and pleadings for internal use and presentation to institutional banking clients.

Conducted research and drafted legal memoranda and transactional and litigation related documents in areas of practice including civil litigation, corporate governance, administrative law, land use and zoning, real estate development and finance, mortgage lending, and education law.

Representation of low-income taxpayers in disputes regarding federal income tax liability before the IRS and U.S. Tax Court. Cases included entitlement to dependency exemptions and tax credits and the availability of remedies such as offers in compromise, installment agreements, and innocent spouse relief.

Provide legal representation and advice to Howard County government and its agencies, defend the County and its agencies, officials and employees against lawsuits in State and Federal courts, provide legal advice to the Executive, the Council, and all County agencies, offices, boards, and Commissions, review legislation, litigate code enforcement cases.
