- Worked with business partners to lead the successful negotiation and execution of contracts for complex design/build projects of over $1 billion with sophisticated customers, focused on maximizing commercial success while mitigating downward risk;- Successfully negotiated thousands of contracts with sophisticated customers, subcontractors, design professionals, consultants, equipment suppliers, and vendors from around the world;- Brought to successful resolution a multitude of disputes, business litigation, arbitration, and insurance matters, including coordinating with outside counsel across the country, using a variety of tactics and skills, including numerous mediations;- Adept at learning the business and commercial aspects for the variety of Gray companies and applying that business and commercial knowledge to obtain the best operational results;- Successfully partnered with the leadership team at Gray to create a culture where legal is a valued partner, brought in early and often, and not thought of as a red tape, “no” department; and- Assisted with a variety of aspects of corporate law, including creating businesses, procuring licenses, and maintaining corporate formalities for a variety of different businesses across the world, while coordinating when needed with outside counsel;- With the CLO, expanded a combined Legal/Risk Management department starting with two team members and growing to fifteen team members for an international design-build general contractor with over $3.5 billion in annual revenue, and assisted in a variety of legal, finance, insurance, operational, and risk-management matters;- Assisted the risk management team with the handling insurance claims and providing strategic advice on insurance and surety matters; and- Provided business, corporate, commercial and general advice to a variety of different companies within Gray, Inc., including a design, manufacturing, controls and automation, and process engineering company.

I was the Deputy General Counsel of Gray, Inc., a collection of over twelve operating companies providing construction, design, engineering, equipment fabrication, development, process engineering, and a variety of other services.

In my practice, I practiced construction law and business law in various contexts, including having:- Assisted in drafting construction contracts & other agreements;- Assisted in nearly all aspects of complex litigation from drafting pleadings & motions, to assisting with discovery, interacting and managing clients, and attending hearings & motions;- Advised clients on a wide-variety of construction issues, including interpretation of contracts; bond,surety, and insurance issues; labor, employment, OSHA, and immigration issues; design professional and contractor licensing; building codes and permits; bidding and public procurement issues; mechanics’ liens; various contractual and delay damages; and alternative dispute resolution; and- Advised clients on business litigation issues; assisted in litigating business disputes between corporations.Notable Representations:- Assisted in obtaining damages in excess of one million dollars on summary judgment for client against insurance company in federal court;- Assisted in obtaining judgment on the pleadings on federal preemption grounds in state court;- Assisted in obtaining successful motion to dismiss for lack of personal jurisdiction in federal court;- Successfully advised national construction client on construction licensing, design professional licensing, and design-build feasibility for all fifty-states;- Successfully obtained default judgment for client and collected full amount owed under a factoringagreement; and- Assisted in drafting construction contracts for national clients.
