Distinguished capital markets attorney and co-lead of the firm's Canada Desk, representing underwriters and issuers in various industries in public and private corporate finance transactions, including, but not limited to, initial public offerings, shelf registrations, registered direct transactions, private investments in public equity (PIPEs), private placements, secondary market purchases and other securities offerings. Leads initial public offerings of SPACs as well as de-SPAC transactions and public company mergers and acquisitions.Expertise with U.S. cross-border securities matters, leading issuers and investment banks in a broad range of public and private financings, including, but not limited to, financings under the U.S.-Canada Multijurisdictional Disclosure System (MJDS) and U.S.-foreign private placements including Rule 144A and Regulation S offerings.Counsels U.S. and foreign issuers in connection with corporate governance matters including reporting obligations under the Exchange Act, New York Stock Exchange, the Nasdaq Stock Market, Cboe and FINRA. Assists foreign issuers with securities quoted on the OTCQX and OTCQB with Principal American Liaison (PAL) related matters.
