Provide counsel and manage an ethics and compliance group responsible for administering the management and operating contract between the U.S. Department of Energy and Alliance for Sustainable Energy, LLC, and related institutional policies and procedures, information governance, and performance assurance functions.Partner with relevant stakeholders to ensure that we maintain integrity while adhering to legal and regulatory requirements that achieve laboratory business objectives while minimizing organizational risks.

Managed multiple community partner organizations and CSBG subcontractors through contract negotiations and ongoing fiscal and program monitoring to ensure compliance with federal and state regulations. Provided oversight and technical assistance to the CSBG Tripartite Advisory Board, including governance matters on ethical obligations, fiduciary responsibilities, and revising and interpreting bylaws.

Negotiated and drafted various complex agreements in the Municipal Operations division of the City Attorney’s Office, with a specialization in regulatory law and public health; advised city’s Risk Management and Technology Services on compliance and implementation of Health Insurance Portability and Accountability Act (HIPAA) and Health Information Technology for Economic and Clinical Health Act (HITECH) federal regulations. Advised Budget and Management Office on federal and state audit, solicitation, and cost principles requirements, including grants, contracts and subcontractor agreements relating to the United States Office of Management and Budget (OMB) Uniform Guidance (2 CFR 200). Managed and timely executed one of the highest volume of contracts in the city; advised on procurement methods, drafted ordinances, resolutions, and policies, and provided support and mentorship to colleagues on areas of expertise. Notable highlights include negotiated and drafted the annual operating agreement with Denver Health and Hospital Authority, the RFQ and resulting agreement for more than 15 local Colorado governments in hiring special counsel for the opioid epidemic, and the original Race and Social Justice Initiative data use agreement with UC Berkeley.

Advised board and executive management on business and legal issues for a tribal entity managing a $100+ million budget and representing 56 tribes in the Yukon-Kuskokwim Delta region. Negotiated the Bureau of Indian Affairs, Office of Self-Governance (OSG) agreement between AVCP and the United States government and the tribes that opted into the OSG compact. Drafted, analyzed, negotiated, and reviewed grants, contracts, consultant and vendor agreements, real estate leases, construction contracts, and service agreements; streamlined contracting process by creating standard templates, and reduced the contract turnover time by 50%. Developed corporate governance policies for the executive board of directors; hired and managed outside counsel. Finalized the FAA certification of the aviation maintenance school for the region, and procured equipment pursuant to the contract cost principles and procedures in the Federal Acquisition Regulation (FAR). Managed a team including legal support, a tribal justice program manager who acted as a liaison between individual tribes and the U.S. Department of Justice, Bureau of Justice Assistance and Bureau of Indian Affairs, Office of Tribal Justice and two guardian ad litems for child advocacy matters.

Evaluated and analyzed complex municipal bond financings and transactions for state and local governments, and investment banking firms, pursuant to the Municipal Securities Rulemaking Board (MSRB) regulations. Drafted and reviewed indentures and trusts, bond purchase agreements, preliminary and final official statements, continuing disclosure undertakings, escrow agreements and associated documents. Part of team responsible for negotiating and drafting Denver’s Union Station Project Authority revenue bonds, and the Denver International Airport’s south terminal redevelopment program revenue bonds.
