    Network Flooring was the UK’s largest commercial floor layer turning over £12.0m with a high profile customer base including M&S, British Airports, Employment Service, MOD etc. In 1997 an opportunity for an MBO/MBI arose and I was contacted by the MD of Network, to advise on the buyout strategy. We completed the buyout in June 1998, and I joined as Finance Director, forming Willoughby as a holding company. In 1999 we acquired a carpet making facility in Lancashire turning over £3.0m and in 2000 we acquired a carpet distribution business in Lancashire turning over £2.0m. Responsibilities:• Advise on the buyout strategy, source and negotiate the finance package and to manage through the buyout process.• Managing the finance team and the accounts department.• Supervise the production of monthly management accounts and annual accounts.• Source and negotiate suitable acquisitions.• Prepare business plans and cash flows to support the business case for acquisition.• Source and negotiate finance packages.• Manage through the acquisition process.Key Achievements:• Network buyout completed on time and well within the funds available.• New accounting system installed on time and within budget. • New pension scheme introduced.• Profitability targets achieved• Debt book profile substantially improved• MBO debt funds repaid within twelve months.• Cash position went from £1.0 million overdraft to £900k in hand within twelve months• Three acquisition targets identified.• Business plans and cash flows prepared to support acquisitions.     Talbex was a fully listed conglomerate holding company. Talbex owned Europe’s largest aerosol filler, they also had companies involved in advertising, industrial lighting, janitorial supplies and some property. In 1986 we completed the Reverse Takeover of The Talbex Group plc by selling our mining interests in United Mining to The Talbex Group plc, which at that time was on the London Stock Exchange main list. At the same time we took executive control of the Talbex Group plc board. We were financed by Sleipner Ltd, a boutique Private Equity Finance house based in Mayfair and assisted by Robert Wigram & Co Stock Broker to Talbex plc.In 1987 after having successfully achieving our earn-out, Sleipner sold 50% of their Talbex stock for a profit of £4.0m. I was a Main Board Director of the plc and many of its subsidiaries. I was also Managing Director of the Mining and Construction Division. I was responsible for achieving the profits in the Mining Division that ensured our earn-out for the United Mining acquisition. I was also responsible for the acquisition of the Talbex construction operation and I was involved in the acquisition on Victoreen Inc, a health physics company based in the USA who supplied the American armed forces. This involved me in due diligence in the USA.Responsibilities:• Director of the plc• Managing Director of the Mining and Construction Division• Achieving group EPS profit targets to secure we achieved our additional earn out shares • Restructuring Talbex plcKey Achievements:• Profit targets achieved and earn out shares issued.
