I was initially appointed as Contract Formation Specialist to negotiate and conclude the sub-contracts for the Bombardier scope of work. I then took on the additional role as Commercial Team Lead role, on an interim basis, for the remaining 3 months of my time on this project. This role included the Project Launch of the Maintenance Project, defining roles and responsibilities, employing staff, establishing maintenance and other procedures and systems, procurement of spares and consumables and all the usual line management and general management duties that go with managing the management team and staff of a company.Neville also had to set up and manage annual budgets and set the 15 year multi-billion Rand project budget.He was also responsible for the successful continued operation of the Gautrain for the first phase of the railway between the Airport and Sandton and later on for the preparation to maintain the electrical and mechanical systems (E&M), including the trains for the rest of the railway as part of phase 2. He was also responsible for Industrial Relations, Human Resources, Health & Safety (S16(1) appointed CEO) and Quality for this company.Further responsibilities also included Contract and Commercial Management, ensuring that the maintenance company was optimally positioned in its commercial correspondence, negotiation of variations and claims management.Neville also had responsibility for managing the team that let out to tender and evaluated and awarded the bids for procurement of the long term subcontracts, as well as negotiation of Variation Orders and commercial agreements with the customer, the Bombela Operating Company as well as the Concessionaire and the end customer, the Provincial Government, which was particularly complex in the run-up to the Soccer World Cup in 2010 and subsequent phase 2 opening requirements.One of the key characteristics of this role was extensive interaction and liason with the executives in the other Bombela companies, including the Bombela Operating Company, Bombela Concession Company as well as members of the end customer's Project Management Team appointed by the Gautrain Management Agency (GMA).

Neville was a member of the Board of Directors of this company throughout his more than 5 years spent on the Gautrain project. In this capacity he was responsible for signature of customer and supply contracts, signing off as co-signatory on banking transactions and payments, adapting and managing the BAAN ERP system, liaising with an external board member, attending board meetings, signing off on Annual Accounts, managing and negotiating employee terminations and settlements, representing the company at meetings and functions.

In addition to the role as Contracts Manager, Gautrain, mentioned below, Neville was also given General Management Responsibilities for Procurement (Supply Chain Management) and Document Control Departments, dealing with all General Management related duties around recruitment and employment of staff, ensuring that the staff and roles and responsibilities matched, managing and developing staff and ensuring superior support to the Gautrain E&M Project Teams with all Procurement and Document and correspondence related matters.These responsibilities also included process improvement and management as well as improvement of related IT systems (BAAN ERP) and providing the project team with training in these new processes and systems.During this time Neville merged the Correspondence and Configuration Control functions into one Document Control Department, which reduced head count and produced savings for the project; he was also responsible for leading a team, which established document control procedures; produced reports to senior management; as well as scoping and project managing the development and implementation and roll out of a new configuration management system.Additional responsibilities in this role were to start mobilisation of the Maintenance Project Team, both as a project and as a legal entity.

In this role Neville was responsible for all the parent company’s contractual interests in the Gautrain Project, totalling over R10 Billion. As Contract Manager he was responsible for leading the Project Core Team in Contractual Obligation Management, Contract Administration and Claim Management, specifically including:• Interpretation of all legal and contractual documentation in accordance with company directives and requirements and local country laws and ensuring that differences in interpretation were properly resolved;• Reviewed, approved and provided legal support for all new and amended contract documentation to ensure that the company’s interests were fully incorporated and agreed;• Ensured that all Project Team Members read, understood and acted according to the agreed contracts and procedures;• Support of day to day claims management, including settlement negotiations;• Provided legal support on claim avoidance, claim preparation and claim resolution and had overall responsibility for formal Dispute Resolution;• Instructed and managed legal counsel, when required;• Monitored and reported actual or potential claims and formal disputes;• Reviewed and checked all key documentation and key correspondence and provided strategic input thereto;• Participated in project review and customer meetings and deputised for the Project Director as and when required;• Lead Contract Administration, including the safe-keeping and archiving of all contract- and claim-related documentation, the keeping of a claim-log; and the single source of the complete and updated contracts at all stages of project execution;• Supported Supply Chain Management and later Procurement during the placement of all major procurement contracts to ensure master contract adherence;• Risk Management: Ensured all contractual risks and opportunities were quantified and mitigated;• Provided tax advice when required;• Provided legal and contractual advice.

Bombardier was a founding member of the Bombela Consortium, together with Murray & Roberts, Bouygues and Gautrain BEE Partners, Strategic Partners Group (SPG) that was appointed the preferred bidder for the Gautrain Project in June 2005. Bombardier led its bid efforts from its United Kingdom subsidiary, Bombardier Transportation UK Limited and as a South African Attorney and an English Solicitor, Neville was ideally placed to represent Bombardier on legal and contractual negotiations for this project. Neville joined the Bombela Bid Team in October 2005 and relocated back to South Africa in March 2006. During this year he spent extensive time as a member of the Bombela Negotiation Team, negotiating various aspects of the suite of 30,000 pages of contract documentation that make up the Gautrain PPP Concession.During this time he also supported the mobilisation of the E&M Project Execution Team.

Bombardier at the time was a member of the Metronet consortium that was responsible for execution of 2 out of the 3 multi-billion Pound (GBP) PPP (Public Private Partnership) contracts for the renewal of the London Underground network.Neville was employed as Contracts Manager at Bombardier’s LUP Division in their London offices, supporting the Director of Contracts. His responsibilities included:• Providing contractual advice to both the VLU (Victoria Line Upgrade) and the SSL (Sub-Surface Line) Projects, through contract interpretation and legal opinions;• Contracts and claims management responsibility for the major sub-contract to the signalling supplier at the time, Westinghouse;• Providing contractual and legal advice to the LUP Project team generally, including negotiation of the lease for their new London Offices next to Euston Station;• Providing legal and commercial support for contractual changes;• Providing legal and administrative support for claim preparation and avoidance, including establishment of a system and procedure to capture engineering time spent on claims;• Providing procurement support in writing terms and conditions for tenders for Independent Safety Assessors and Software Assurance and supporting the tender process, including negotiation of contracts with preferred bidders;• Reviewed and advised on compliance with London Underground and other regulatory standards;• Checking, amending and providing advice with regard to customer documentation and correspondence;• Representing the contracts function at bi-weekly Contract Progress Review Meetings with the customer, Metronet and ensuring minutes for meetings accurately reflected proceedings;• Implemented computer based solutions for claim management and for management of email correspondence with the customer and with suppliers;• Close co-ordination with Commercial Managers;• Provided support to the Contracts Director.

Bid Process:Neville's specific responsibilities included representing the Contracts Department as permanent member of the RCS bid team, evaluating and preparing bids and bid process related documentation and formulating winning bid strategies. Approximately half of his time was spent dealing with bid related matters, more specifically:• Attending all Bid Meetings on behalf of the Contracts Department, including evaluation and approval of all Justifications to Bid and obtaining Divisional and Group approval for bids;• Application of Group Bid directives, Group and Corporate policies;• Liaising with other contracts colleagues in the RCS Contracts Department and Group Contracts and sister divisions;• Reading and analysing Invitations to Tender, including the customer required contractual terms and conditions and advising on exceptions and clarifications to be made;• Supporting Bid preparation, including contractual terms and conditions;• Producing weekly and monthly bid activity reports for RCS and Group Contracts;• Presentations to RCS regional offices on the role of contracts in the bid process and specific issues;• Liaising with Structured Finance where required.RCS Bids were heavily based on standard form contracts, for example the FIDIC Yellow Book terms and conditions for Plant Design and Build and their values varied from Euro 100,000 up to Euro 250 million.Other responsibilities included:• Contract Drafting, reviewing and commenting on Pre-Bid agreements, Memorandum of Understanding agreements, Consortium agreements, Confidentiality agreements, etc.;• Drafting of Contract summaries of agreement and undertaking and arranging financial due diligence of proposed partners;• Contract Audits• Agents & Representatives Agreement review and management• Bank Guarantees, Parent Company Guarantees, Letters of Credit and Sureties – issuing and managing• Powers of Attorney & Legalisation thereof for use in foreign countries• Risk Management & Insurance

This company was one of several companies in the "Bombela Family" making up the consortium responsible for delivering various elements of the Gautrain Project. This particular company was responsible for roughly 40% of the Design and Construction scope of work under the Gautrain Project during the development phase and included the supply of the trains and electrical and mechanical systems like the ticketing systems, signalling systems, overhead catenary, communications systems, etc. on the Gautrain PPP Concession Project. At the start of the project he established this Legal Entity and drafted and negotiated the shareholders agreement.The majority of shares was owned by Bombardier, with a minority of shares to the Gautrain BEE Partner, SPG (Strategic Partners Group). One of his key responsibilities was to liase and interact with the board representative of Bombardier's BEE partners.In this role he was responsible for convening and chairing board meetings, liaising with the external company secretary, settling minutes of meetings, reviewing actions, drafting and finalising agendas for board meetings.

At the start of the Gautrain project, Neville established this Legal Entity and drafted and negotiated the Shareholders Agreement.The majority of shares was owned by Bombardier, with a minority of shares owned by the Gautrain BEE Partner, SPG (Strategic Partners Group). One of Neville's key responsibilities was to liaise and interact with the board representative of Bombardier's BEE partners.This company was responsible for the maintenance of the all of the scope of work delivered by Bombardier under the E&M Project, including the trains.In this role Neville was responsible for convening and chairing board meetings, liaising with the external company secretary, settling minutes of meetings, reviewing actions, drafting and finalising agendas for board meetings.This role also required extensive interaction and liason with the executives in the other Bombela companies as well as members of the end customers Project Management Team.

This company, initially named, "Bombela Track (Pty) Ltd", was the company responsible for building all of the trackwork on the Gautrain Project, both at grade and the concrete track in the tunnels. This company was a 50/50 Joint Venture with Gautrain BEE partner, Strategic Partners Group (SPG). Neville was responsible for the registration of this Legal Entity and he negotiated the Shareholders Agreement with BEE partner, SPG. He also facilitated a due diligence by SPG to take up their shareholding in this company and then served on the Board of Directors of this company for several years in capacities as Chairman of the Board, Director and Audit & Risk Committee Chairman and Member.Being a 50/50 join venture, the power was balanced equally between the two shareholders, which made it very important to maintain good relationships with the various shareholder appointed directors and it required excellent negotiation and deal making skills. IRS as a construction company was critical in the execution of the Gautrain project as it had to lay all of the trackwork for the Gautrain Project, trackwork being the first E&M subsystem that had to be installed before any other subsystems like overhead catenary and signalling could be installed. IRS through various acceleration variations, which Neville played a key role in negotiating and documenting, ensured success of the Gautrain Project in meeting the 2010 Soccer World Cup opening deadline.

Flexjet Europe was a subsidiary of Canadian based Bombardier Aerospace, selling fractional ownership or timeshare of Bombardier's Learjet business aircraft. During this time Neville was responsible for the negotiation and contract administration of all the company's customer contracts. He also had to redraft the customer contract when the companies business model changed. Furthermore, he had to provide legal support on various regulatory and other business matters.

During the wind-down phase of this legal entity, Neville was in addition to his other roles in Flexjet Europe, also the Managing Director on the Board of Directors of one of the Danish companies, Flexjet Europe A/S, which was responsible for operating the company's fleet of Learjet aircraft. In this capacity he had to liaise with the Danish Legal Counsel and had to ensure compliance with the Danish Company law and assisted with Corporate legal matters with its Danish subsidiary, Bombardier Used Aircraft Services A/S (or as it used to be called, Flexjet Operations A/S, when it was operating the fleet of aircraft).

• Member of the Board of Directors of Flexjet Europe Limited (incorporated in England and Wales) and Neville was also responsible for drafting of Board Resolutions and to ensure compliance with Company Legal requirements; • Member of the management team and attended and participated in management meetings and provided input with regards to strategic planning and risk management issues.• Bank account: joint signing authority, which included signing of company cheques and authorising cash transfers; • Managing the contracts/legal budget (annual review, attending budget meetings; managing actual spend and forecasting future spend, as compared to budget).

Neville was initially appointed by Bombardier as Contracts Administrator, responsible for negotiation, management and administration of the 30+ fractional ownership contracts with high net worth individuals. Later on he was promoted to Head of the Contracts Department in the role of Senior Advisor, Contracts & Risk Management.

After Neville completed his law articles at Francis Thompson & Aspden (FTA), he was offered a permanent position within their litigation department. However, motivated by a desire to travel, he resigned from FTA and set off, with his now ex-wife, on an epic overland journey in a Land Rover Defender.
