• Draft documentation and advise clients with respect to the formation and governance of multiple corporations, limited liability companies and limited and general partnerships, including complex joint venture entities.• Counsel clients in asset and equity purchase and sale transactions ranging in value from less than $100,000 to in excess of $800,000,000, which duties have involved the negotiation and drafting of multiple asset purchase agreements and stock/unit purchase agreements.• Negotiate and draft documentation relating to complex debt and equity financing transactions, which duties have involved extensive contact with third party institutional and private lenders.• Coordinate and conduct comprehensive due diligence in connection with asset and equity purchase and sale transactions.• Draft private and commercial real and personal property lease agreements.• Draft employment agreements, consulting agreements, non-competition agreements, termination agreements and various other employment-related contracts.• Advise publicly-traded client with respect to numerous commercial contracts.• Draft multiple private placement offering documents for securities offerings ranging in value from less than $1,000,000 to in excess of $50,000,000.• Counsel clients with respect to general securities compliance, with a focus upon private offering exemptions.
