• Counsel clients in asset and equity purchase and sale transactions ranging in value from less than $100,000 to in excess of $800,000,000, which duties have involved the negotiation and drafting of multiple asset.
• Negotiate and draft documentation relating to complex debt and equity financing transactions, which duties have involved extensive contact with third party institutional and private lenders.
• Coordinate and conduct comprehensive due diligence in connection with asset and equity purchase and sale transactions.
• Draft private and commercial real and personal property lease agreements.
• Draft employment agreements, consulting agreements, non-competition agreements, termination agreements and various other employment-related contracts.
