Obviously, solicitor/client confidentiality prevents me from disclosing everything that I do. However, some of my experience includes: • Sole New Zealand legal adviser to the Signature Security Group from its inception in 1997 to its sale in 2011. I advised on the initial acquisition and Overseas Investment Act issues and a large number of subsequent acquisitions through to its ultimate sale to ADT for A$171 million. I was the only professional adviser to act for Signature throughout all of its 14 year existence. • Acted for Integral Technology Group Limited throughout a very successful 2010 when it acquired Axon Computers in May 2010 (which tripled the group’s revenue), and then advised the shareholders of Integral Technology Group Limited in the sale of that company to Datacraft New Zealand Limited in November 2010.• Successfully advised Oyster Bay Marlborough Vineyards Limited, the target company, throughout a highly contested partial takeover offer battle between Delegat’s Wine Estate Limited and Peter Yealands Investments Limited. This gave rise to New Zealand’s first High Court judgment on the Takeovers Code.• Advised Panache International Limited (a significant minority shareholder in 42 Below and the North American distributor for 42 Below) on a variety of issues arising from the purchase by Bacardi of all the shares in 42 Below Limited, including the termination of Panache’s distribution agreement and the sale of Panache’s shares to Bacardi in a manner to ensure compliance with the Code.• Advised Jesters’ Pies from its commencement of its master franchisor business in New Zealand in 2001 till now on all legal matters from ensuring that its franchise documentation complies with New Zealand law, as well as the Code of Ethics and the Code of Practice of the Franchise Association of New Zealand. • Successfully resolved a wide range of shareholder disputes and board disputes for my clients.
