As the Chief Legal Officer and Company Secretary of Yuma, I am responsible for overseeing all legal, governance, and regulatory matters across our multinational organization, which comprises more than 20 entities across Belgium, the Netherlands, Luxembourg, and Tunisia. Key Responsibilities:• Strategic Legal Oversight: Lead Yuma's global legal function, aligning legal strategies with business objectives to mitigate risk, ensure compliance, and support growth across diverse markets and sectors.• Corporate Governance & Compliance: As Company Secretary, I ensure adherence to corporate governance standards and manage all board-level processes. This includes organizing and documenting Board of Directors and Shareholders' Meetings, managing board resolutions, and ensuring compliance with regulatory and statutory obligations across multiple jurisdictions.• Legal Entity Management: Oversee the management of Yuma’s legal entity structure, ensuring full compliance with KYC and UBO obligations, and managing entity records, filings, and officer details.• Contract Lifecycle Management: Oversee the development, negotiation, and execution of contracts across the Group, including client agreements, IP and licensing agreements, and intercompany agreements, ensuring risk management and legal compliance.• Public Procurements: Manage all legal aspects of public procurement processes for the Group, ensuring compliance with the administrative requirements in Belgium, the Netherlands, and Luxembourg, including managing tender submissions and related contracts.• Regulatory Compliance: Ensure the Group's compliance with GDPR and other regulatory frameworks across its operations, especially concerning data privacy and cross-border data transfers.• Governance & Risk Management: Provide ongoing advice to the board on governance best practices, corporate strategy, and legal risk management, ensuring that Yuma adheres to high standards of corporate governance.

In a nutshell: lead the support of Vodafone’s global Internet of Things (IoT, formerly known as M2M) business with its expansion plans by providing specialist and expert legal advice on commercial and contractual matters relating to the expansion of Vodafone's IoT Partners'​ network as well as Vodafone's Internet in the Car (IITC) Partners' network.In less of a nutshell: lead a team of three which:• Develops and implements contracting models and documentation for the IoT and IITC global expansion plans.• Works in cross functional teams to ensure Legal, Commercial, Technology, Tax, Regulatory and other relevant stakeholders are engaged and provide the necessary inputs to the contracting models and documentation. • Negotiates with other telco operators, suppliers and customers to implement the expansion plans and liaising/coordinating with other relevant functions during those negotiations.• Has day-to-day responsibility for providing accurate, effective and timely legal advice, analysis and support at an expert level on complex commercial and contractual matters of significant strategic and/or financial value to Vodafone’s IoT business.• Maintains effective contacts with key individuals (including management positions) from other functions involved in the development and/or deployment of all IoT Products, such as Regulatory, Group Technology and Tax. Assist in discussions with such personnel to ensure the best legal solution to meet commercial objectives.

• Assist the Sales and Outsourcing departments with the sales of Proximus' Products & Services to SME and COR clients (preparation, negotiation and management of commercial contracts and Master Services Agreements, but also NDA's, LOI's, MOU's and Teaming Agreements)• Assist the Marketing department with the preparation of upcoming Products & Services and related above- and below-the-line communications (B2B trade practices)• Assist the Customer Care department in resolving litigation with SME and COR clients and liaise with external counsels• Assist the M&A department with the drafting of Shares (and Assets) Purchase Agreements and carrying out of related Due Diligences• Legal representation in various internal Committees (Mobile Pricing, Regulatory, Credit, Trade Practice)• Draft Legal Opinions for Management Committee and Board of Directors
