• Acting as the COO & sole in-house legal counsel of the Investment Group. • Providing on-going strategic & legal advice to the various companies and L.P’s of the Investment Group on various business & legal matters including commercial, licensing, corporate, tax, labor and insurance matters. • Working closely with C-level executives and external legal advisors from leading law firms. • Leading the establishment efforts of new business initiatives. • Supporting efforts to establish a new health-tech investment fund (Valitas Ventures, L.P). • Building and evaluating business models – both for internal purposes (for the Investment Group’s internal business initiatives) and for external investments (evaluating start-ups business models which we considered to invest in). • Handling operational on-going tasks and acting as the Investment Group’s POC for its suppliers and advisors. • Leading legal aspects of the Investment Group’s investments in start-ups. • Leading business and legal negotiations with international and local partners/companies/ investors. • Drafting commercial agreements (contractor agreements, service provider agreements, license agreements and NDA’s). • Drafting investment agreements (SPA, IRA, SAFE, CLA and other loan agreements).• Leading legal due-diligence process as part of the review process of potential new investments.

Representing leading pharma companies, innovation labs, start-up companies, key figures, and venture capital funds in the local and international high-tech arena in major investment rounds, loan agreements and in M&A transactions. In addition, I also assisted my clients with ongoing legal matters and decisions. As a corporate legal counsel, I was involved with all legal activities related to my clients and provided the following legal services:• Drafting transaction documents and providing the legal structure for investment rounds, loan agreements, license agreements, commercial agreements, etc. • Supporting on-going corporate activities (taking part in board and shareholders meetings and leading corporate governance activities). • Conducting due-diligence and writing applicable due-diligence reports.• Negotiating with vendors, advisors, collaborators, etc. and drafting the relevant commercial agreements (including NDAs, licensing agreements, services agreements, collaboration agreements, etc.). • Providing on-going legal advice on commercial, corporate, ESOP and employment matters.

The Third Way is an organization which assist other well-known organizations to build and establish programs and campaigns or to better their content. We specialize with giving advice regarding the Israeli-Palestinian conflict, Israel's economic-social state and the relations with the Jewish diaspora. I am part of the organization from day one, and was responsible to establish the organization legally and logistically (both in Israel and in the US). Today, my job includes the following responsibilities: * Responsibility for relations with the organization's peers, professionals and donors (including businessmen and funds) in Israel and in USA. * Management of the organization’s yearly budget (estimated 400K$ per year)* Working with organizations on the development of their projects and assisting them to formulate their content.

* Produced alumni events (reunions, lectures, social networking events and professional workshops)* Initiated and establishing a mentoring program for young alumni of the faculty. * Managed the organization's budget.* Responsible of 10 volunteers.

While working as an intern I was part the firm's commercial litigation team. I assisted the team to represent big Israeli corporations in a number of high-profile cases.

Jessup is the world's largest moot court competition, with participants from over 680 law schools in 100 countries and jurisdictions. The Competition is a simulation of a fictional dispute between countries before the International Court of Justice, the judicial organ of the United Nations. One team is allowed to participate from every eligible school. Teams prepare oral and written pleadings arguing both the applicant and respondent positions of the case.My team and I represented Israel and the Hebrew University of Jerusalem during 2014 (after wining the regional competition). We were ranked as one of the 32 finalists of the competition. I was personally ranked in the 100 top speakers list (out of more than 300 participants from all over the world).

* Finished my service as a Lieutenant.* I was responsible of the operational aspect of advanced technological systems. * Led a substantial project and was in charge of the operational and technological aspects. * Head commander of my sub-unit training course.* Received two certificates of excellence: for my performance and for succeeding with achieving the project's goals.
