• Legal support of the public-private partnership infrastructure project “Integrated Development of South Yakutia” aims at creating a new large industrial district in Russia's Far East on the basis of mineral resources available in the region (construction of hydro power, ore, uranium, coal, gas, apatite mining plants; motorways, railways and grid infrastructure);• Preparation of public-private partnership agreement between proper ministries of the Russian Federation and the private investors (ALROSA, GAZPROM, State Hydro Power Corporation RusHydro, State Atomic Energy Corporation ROSATOM, ARMZ Uranium Holding Co, Kolmar Coal Holding Co); • Arranging the interaction and coordination between all participants of the project;• Preparation all documents relating to the implementation of the project for the Government, ministries and private investors (Government and Ministries Regulations related to the project, legal opinions, working papers, consultation papers and reports); • Risk allocation issues;• Management of the working group; business development.

• Implementation of investment projects and programs primarily in diamond and gold mining industries;• M&A transactions, risk allocation;• Corporate governance issues (private equity, shareholder’s agreements, joint ventures, preparation and holding general shareholder’s meetings, accompaniment to the approval of major transactions and transactions with interest);• Legal examination of a wide range of agreements and contracts with Russian and foreign investors;• Litigation, arbitration.

• Representing clients’ interests in general jurisdiction courts, state arbitration courts and arbitration tribunals;• Providing legal support and preparation of due diligence reports and legal opinions in the fields of business and corporate law and securities law;• Legal support of bankruptcy procedures, restructuring of enterprises, as well as transactions involving assets;• Making drafts of contracts, agreements and other documents required in all types of civil transactions, as well as registration of labor relations;• Assisting in registration of commercial and non-commercial organizations including registration of investment companies, and assistance in registration and accreditation of branch offices of foreign companies on the territory of the Russian Federation.
