My responsibilities include advising Development Finance Institutions, financial institutions and corporations (both domestic and international) in respect of their loan and equity investments as well as on finance lease transactions. I have been involved in several cross border transactions involving lending; refinancing and restructuring deals; structuring and enforcement of security (including advising on reduction of perfection costs), all in the corporate and project arena. I am very familiar with finance and investment related documents including the LMA investment and leveraged finance documents, and I draft, review and negotiate these documents on a regular basis including drafting any related local law security documents. I have advised on a couple of green field project finance transactions including the acquisition by Indorama of Eleme petrochemical transaction and the development and financing of the power plant and infrastructure assets (funded by IFC and some other DFIs as well as other international and local lenders); Obajana Cement transaction, the Unicem transaction etc. I have advised major international banks on various structured finance transactions including structuring their derivatives products in line with local regulatory laws and requirements. My cross border work involves advising clients regularly on foreign exchange restrictions including inflow of capital into Nigeria, repatriation of capital on divestment, and forwards and NDF transactions; tax issues; and other investment challenges encountered by foreign investors.My responsibilities also include advising on domestic bond, notes and other securities issuance including negotiation of the transaction documents and compliance with the rules of the SEC and other regulators. I have been involved in major acquisition deals including the acquisition by Abraaj of a stake in one of the Indorama Group companies and the acquisition of Union Bank of Nigeria Plc.
