This course is an introduction to the law upon transactions in global financial markets. It includes a study of legal risk and the associated international legal principles and of covenants and contracts governing the cross-border capital flows. Briefly, a simple study of Financial Law encompasses financial transactions within one jurisdiction, but in this course the additional study of international/cross-border transactions makes it unique and much more interesting.The course deals with the study of legal/regulatory principles associated with International Loans, Syndicated and Structured Finance, Euro-Bonds, Guarantees, Swaps/Derivatives, Credit Rating, Collective Investment Schemes or Funds and International Equity & Debt Offerings amongst other topics.A study of topical case-studies, like the present Global Financial Crisis, will impart practical knowledge upon the students through an application of laws and associated regulation upon current legal/financial issues.
