- Conducting required review on complex commercial contracts and negotiating with a vision to bring in the favorable terms and win-win deal.- Drafting wide range of contractual deeds such master services agreements, sub-contracting agreement, customer terms & conditions, sows, software licensing agreement, supporting in preparation of response to RFIs, RFPs, RFQs, and other types of agreements across jurisdictions.- Engaging with business team to comprehend the business opportunity, envisage the risks, prepare and implement the risks mitigation plans in the event of accepting large and complex contractual terms and conditions.- Maintaining the contractual standards templates in compliance with the applicable laws and in par with the prevailing industry standards.- Drafting, implementing and constant monitoring of ethics policy in the organization, policy compliances, preparing global risk mapping and envisaging the risks with probabilities. - Advising the HR Team and all the employment matters, Constant monitoring and revision of all Employment related documents – Offer Letter, Service Agreement, Retention Bonus Agreement, Independent Consultant Agreement, etc.- Diligently handling dispute matters, coordinating with external counsels to understand legal implications and explore the best feasible option to resolve the dispute safeguarding the interest of the organization. Amicable settlement of dispute with concerned parties.- Conducting legal due diligence in merger and acquisition matters.- Provide guidance in formulating HR Policies and Information Security Policies.
