As a part of EY's regulatory practice, I have carried out the following key assignments-• Handled a project for a major global luxury automotive manufacturer, for Machine-to-Machine communication enablement in its cars, using foreign embedded SIM cards. Various options of implementing the roll-out plan were identified and a comprehensive analysis of all the laws and regulations applicable to the assignment was carried out.• Carried out an end-to-end internal regulatory audit of a major telecom operator in Bangladesh, wherein various applicable license conditions, along with telecom and privacy laws and regulations, were deeply analysed. Our advisory responses were relied on by the Client to smoothly face the Audit process initiated by the Telecom Regulator in Bangladesh.• Provided competition law advisory, pertaining to whether 4G broadband services form a relevant market in the telecom sector, to a key telecom player in India. Also advised the client on determining factors for establishing a position of dominance.• Analysed restructuring/sale implications on telecom assets, infrastructure and licenses/ authorisations of the transferor companies.• Extensively studied the merger guidelines for telecom operators.• Assisted several clients in successfully applying to the Department of Telecommunications for “Other Service Provider (OSP)” registrations, in factually different assignments.

At PwC I worked in the Mergers & Acquisitions (Tax) department, based in Gurgaon. As a pert of the M&A team, I have gained expertise in and worked on the following engagements:Conceptualisation of various structuring options and evaluating the options as per the following legislations - Income Tax Act, Companies Act, Exchange Control Regulations, Competition Act, etc.Extensively researched on the Guidelines on Licensing of Payments Banks, 2014 and subsequently drafted the restructuring chapters of the Payments Bank application submitted to the RBI, for a top pre-paid payments instrument (online wallet) company in India. Took independent ownership of drafting and research under the Manager’s supervision.Implementation assistance for structuring, including the drafting of merger/demerger Schemes, First Motion Applications, Board Resolutions, consent letters of creditors and shareholders, etc.Independently assisted the Director in drafting an extensive presentation on the need for Succession Planning for family-led corporate groups and researched extensively on the topic.Tax due diligence (buy side).Carried out business development analysis of several companies, in India and abroad, to identify business opportunities for the team.Client management, front-ending on assignments while coordinating with teams from other Lines of Services (‘LoS’).

Worked with the Legal Department and researched on Sections 3 and 4 of the Competition Act, 2002, Sections 202 and 204 of the Code of Criminal Procedure, 1973, Antitrust Laws in the USA and Europe, enforcement of foreign arbitration awards in India and abroad and Investment Law. Prepared notes on attorney-client privilege in India and Employment Laws of the United Kingdom. Prepared a detailed presentation on the framework of the Foreign Exchange and Management Act, 1999.

Worked with the Real Estate team on issues pertaining to Transfer of Property Act, 1882, Indian Stamp Act, 1899, Indian Succession Act, 1925, The Hindu Succession Act, 1956 and other Property Laws.

Primarily worked with the Corporate and IPR teams of the firm, and researched on matters pertaining to Labour Laws, Companies Act, 1956, Indian Patents Act, 1970, Indian Copyright Act, 1957 and Competition Laws. Assisted in the preparation of a due diligence report and drafted a compliance checklist for an Indian manufacturing company.

Researched on specific sections under the National Highways Authority of India Act, Code of Criminal Procedure, Code of Civil Procedure, Arbitration Law and Negotiable Instruments Act and assisted in drafting documents relating to litigation matters.

Worked on different cases relating to criminal and civil matters, drafted legal documents like counter affidavits and researched on matters involving interpretation of law.

Went on educational and awareness camps to villages near Haridwar and Dehradun, conducted a survey in one of the villages to gather information about female infanticide/feticide and assisted in the drafting of the NGO’s annual Pragati Report.
