As Director of Risk Management/Legal Services, administer the Company’s risk management program, which includes all corporate assets and Workers’ Compensation issues. Team member in company-wide roll-out of Newland’s ethical/compliance training modules, including responsibility for selection of modules. Serve as Company’s Compliance Officer with responsibility for monitoring participation in such program. Participated in drafting of Newland’s Code of Conduct. Prior to October 20, 2003, responsible for all corporate records maintenance for approximately 175 companies, including regulatory compliance, formation and set-up of new entities, dissolutions/cancellations. Prepared all required resolutions in connection with corporate financings, purchase and sale of land, joint venture activities, liquor licenses, etc. Coordinated with in-house and outside counsel to provide required corporate documentation in connection with all company transactions, including contract management. Monitored potential and current litigation matters, updating litigation schedules monthly.
