Governance attorney in legal department providing legal advice and support to board of directors and senior management on matters including corporate governance, strategy, compliance, and ESG. Manage team of six legal professionals.Duties include:• Collaborating with the business to develop effective and efficient governance solutions for novel and emerging matters;• Reviewing securities disclosures relating to risk management, corporate governance, director independence, and other matters;• Conducting due diligence on board member affiliations and financial interests and performing analysis for independence, conflicts of interest, and related party transaction purposes; • Drafting and reviewing governance documents such as charters, policies, and procedures; and• Performing corporate secretarial duties for the board of directors, board committees, and management committees, including drafting minutes, board resolutions, agendas, and meeting materials.
