I am an associate in Moore & Van Allen's Employee Benefits and Executive Compensation group. In this role, I handle all aspects of health and welfare plans, retirement plans, equity incentive plans, and all other forms of benefits and compensation arrangements. I am regularly involved in sizeable mergers, acquisitions, divestitures, and spin-offs, where I lead due diligence review, negotiate purchase agreements, facilitate post-closing issues, and implement compensation arrangements on a go-forward basis. In addition, I am regularly involved with ensuring compliance with ERISA, Sections 280G and 409A of the Code. Aside from "pure" benefits and compensation work, I also am regularly involved in the structuring and implementation of complex employee stock ownership plans.

I was an associate in Maynard Nexsen, P.C.'s (f/k/a Maynard, Cooper & Gale) Employee Benefits and Executive Compensation group, located in Nashville, Tennessee. In this role, I handled both day-to-day issues involving health and welfare plans, retirement plans, deferred compensation plans, employment agreements, and all other forms of compensation arrangements. In addition, I was regularly involved with sizeable mergers and acquisitions, which included negotiating purchase agreements, performing due diligence, and navgiating issues with Section 280G of the Code.

I was an associate in White & Case LLP's Employee Compensation & Benefits group, where I primarily focused on compensation and benefits issues in large U.S. and international mergers, acquisitions, divestitures, and spin-offs,. In this role, I led the due diligence process for the transactions on which I was staffed (including leading RWI calls), negotiated purchase agreements, drafted post-closing employment agreements, management incentive plans, severance agreements, and all other forms of compensation arrangements. I also handled all aspects of issues with Section 280G of the Code.

I was an associate in Bass, Berry & Sims, PLC's Corporate and Securities group, where I focused on the complex tax issues in mergers, acquisitions, spin-offs, and divestitures. In this role, I assisted with the drafting and negotiation of purchase agreements, performing in-depth tax due diligence (federal, state, and international), drafting limited liability company operating agreements, structured reorganizations, and handled all issues with Section 280G of the Code. During my time at Bass Berry, I also developed a niche practice with forming nonprofit organizations for a wide range of clients, where I handled all aspects of the organization's formation, governance, and subsequent state and federal tax-exempt applications and related filings.
