Approx. 25 years providing creative, real-world, solutions-oriented advice supporting critical decisions faced by Boards of Directors (BOD), chief executives and senior leadership of publicly-traded and private companies.Substantial in-house experience with publicly-traded companies supporting all aspects of corporate governance and business needs, including drafting and negotiating contracts (from routine to highly complex), protecting intellectual property, managing litigation, and driving process improvements. Success driving business development (BD) and merger-and-acquisition (M&A) transactions, both tuck-in and transformational, including consummating a U.S.-based public/public “merger of equals,” as well as negotiating the acquisition of French-listed public company and 3-way U.S.-based public/public/public merger + divestiture. Success raising capital (>$500M in gross proceeds with two companies), including use of creative transaction structures and marketing strategies to minimize stockholder dilution. Success building lean-yet-scalable in-house legal teams who understand and embrace a company’s risk-tolerance; comfortable operating in companies with fewer than 50 to more than 1,500 employees. Demonstrated ability to operate in highly regulated business environments; strong understanding of drug development process and implications on business needs, capital requirements and timing, including overseeing Phase 3 clinical study at a publicly-traded biopharmaceutical company.
