• Responsible for the delivery of all legal services to Atos in the UK and Ireland including the adoption of a multi-national legal strategy and Brexit planning.• Dealing with major disputes, compliance and corporate matters and the preparation and maintenance of standard documents.• Responsible for the management and provision of guidance and assistance to a team of thirteen lawyers.

• Responsible for the delivery of all legal services to the Managed Services and BPO divisions of Atos UK including the adoption of a multi-national legal strategy, the negotiation of major projects typically in the public and finance sectors (including those in excess of £1bn), advising on legal aspects of reputation management, dealing with data protection, Freedom of Information, employment, tax and pensions issues, managing disputes and litigation, handling corporate transactions and the preparation and maintenance of standard documents. • Responsible for the management of and provision of guidance and assistance to a team of six lawyers.

• Responsible for the management and negotiation of large and/or strategic contracts typically in the public and finance sectors, the management of large disputes, advising on data protection, employment and IP matters.• During Schlumberger’s sale of Sema to Atos, responsible for carving out Sema’s Payment Systems business into a separate legal structure and putting in place the future contractual relationship between the Payment Business and the worldwide Sema business, taking into account the tax, finance and legal requirements of the future relationship.• Providing guidance and assistance to junior legal counsel and leading seminars with the business and legal on an international basis on the purpose of contracts and particular issues to be addressed in IT contracts.

• Responsible for advising and instructing legal counsel on a worldwide basis of the legal requirements necessary to put in place the strategic direction of the Finance, Transport and Public Sector Segments (“Segments”), preparing standard documents to be used on a worldwide basis in the Segments, creating a web-site for the Segments, providing access to legal precedents, advice, regulatory information and materials. • Managing and negotiating strategic and/or multi-national contracts and disputes in the Segments.

• Responsible for the negotiation of and provision of advice and assistance in respect of various IT agreements including, systems integration agreements, outsourcing/managed services agreements, distribution agreements (as distributor and licensor), software licenses and maintenance agreements. The management and provision of advice in respect of disputes, including major, multi-jurisdiction IP disputes. The provision of advice in respect of IP, data protection and employment (including TUPE) law and disputes. Preparing standard documents for proprietary products, incorporating negotiated third party licenses.

• Provision of legal advice and assistance in respect of all legal matters which arose in the course of business.• Drafting, negotiating and advising on a wide range of licenses, agreements and general terms and conditions of trading, dispute resolution, year 2000 policy and procedure, internet trading and risk management, IP matters, employment matters (including TUPE), European law, competition matters, advising on financing of projects, with an emphasis on the Public Sector and PFI.

• Responsible for all legal and Company Secretarial work including the drafting and negotiating of software licenses, maintenance agreements, source code deposit (escrow) agreements, Turnkey agreements, bureau service agreements, distribution and reseller agreements, County Court litigation (including debt recovery), employment contracts and disputes (including Employment Tribunal work), property matters and executive immigration.

• Specialising in IT related work including advising on, negotiating and drafting all documentation relating to the acquisition and investment in IT companies, drafting distribution agreements, escrow agreements, software licenses and turnkey agreements as well as handling and assisting in all aspects of such transactions.• Review and preparation of the company/commercial department’s precedents.

• Dealing with a variety of company/commercial matters including mergers and acquisitions, management buy-outs, investment advice, shareholders’ agreements, the formation and restructuring of companies and insolvency, distribution and warehousing agreements, standard terms and conditions of business, terms and conditions of supply, IP (including copyright and trademarks), letters of credit, international trade disputes, consumer credit agreements, agency agreements, hire purchase agreements and the preliminary stages of a DTI investigation which led to a referral to the Monopolies and Mergers Commission.
