July 2012 – November 2015: Division Counsel, provided legal support to Bose’s Automotive Systems Division, Home Entertainment Division and Bose Ride Division. November 2015 – November 2018: Senior Counsel, lead global legal support for Bose’s marketing function and sales organization in the Americas. Draft, negotiate and provide strategic counsel on a variety of commercial and intellectual property agreements, including: sales agreements, dealer, distributor and reseller agreements, sponsorship and marketing agreements, OEM agreements, supply agreements, vendor/purchasing agreements, services agreements, confidentiality agreements, licensing agreements, joint development agreements and other collaboration arrangements.Provide advice in connection with regulatory matters with an emphasis on working with technical personnel and business leaders to deliver guidance regarding global regulatory obligations. Provide legal and compliance advice on a full range of sales and promotional issues, including antitrust issues under the Sherman and Robinson-Patman Acts and their foreign equivalents, and promotional campaigns including sweepstakes and contests. Support product launches and ensure compliance with regulations and guidance applicable to the marketing and sale of OEM and consumer products. Participate in safety reviews and the development of product safety testing plans. As counsel to Bose’s Automotive Systems Division, responsible for global legal affairs of division with operations in the U.S., Germany, France, Japan and China. Experienced traveler throughout Asia and Europe. Lead M&A counsel in connection with Bose’s disposition of its ElectroForce product division to public strategic buyer and Bose’s acquisition of international software development team.

• Represented privately held and publicly traded companies as outside general counsel on a wide range of matters, including commercial arrangements and contracts, employment, equity compensation, technology licensing, financing and real estate matters.• Counseled companies and investors in connection with mergers and acquisitions, equity financings, joint ventures, debt financings, venture debt financings, recapitalizations, restructurings and leveraged buyouts. Managed deal teams, including due diligence and all phases of definitive documentation negotiation and drafting.
