Originated and authored the first few editions of Corporate Anti-Takeover Defenses: The Poison Pill Device (Thomson West Reuters/Clark Boardman & Co.) and he updates the following lawyer practice books written by others and published by Thomson Reuters West: Securities: Public and Private Offerings; Exempt Transactions under the Securities Act of 1933; Resale of Restricted Securities; Corporate Acquisitions, Mergers and Divestures; Acquisitions and Mergers in Negotiated and Contested Transactions; Civil Liabilities: Enforcement and Litigation under the Securities Act of 1933; Corporate Counsel’s Guide to Trademark Law; Corporate Counsel’s Guide to Copyright Law; International Dimensions of U.S. Securities Laws; and West’s Federal Administrative Practice (select chapters). He has also given CLE seminars on Cryptocurrencies/Blockchain; Securities Law Compliance; and Essential Contracts for Start-ups.

Practiced corporate-securities law since January 1986, especially focused on federal/SEC and state securities law compliance for securities offerings and periodic filings, corporate governance compliance, mergers and acquisition transactions and employment matters. He served as general counsel and a director of a NASDAQ-quoted company, the president of an operating company (software development) of a public company, and as an independent director of two NASDAQ-quoted companies.

Prior to being a lawyer, Mr. Richter was an executive manager at a financial-regulatory research subsidiary of Paramount Communications Inc. that served Wall Street investment bankers, private funds, brokerage houses and law firms.
