At ArentFox Schiff (formerly Posternak, Blankstein & Lund), I represent middle market businesses on mergers and acquisitions, private placements, strategic alliances, and other transactional matters.A few examples of recent client work:- I represented a family-operated oil and gas provider in a $21 million recapitalization, which allowed the existing shareholders to retain majority ownership of the business and control its operations. I have also provided counsel to this client on a restructuring, real estate leases, and other corporate contracts.- I advised a family-owned auto dealership chain in New England on the $12 million sale of four retail locations to a strategic buyer.- I represented a family-owned equipment manufacturer in Massachusetts in its $194 million sale to a leading industrial manufacturing company. This transaction required Hart-Scott-Rodino regulatory approval from the federal government prior to closing.- I advised an environmental remediation company in a $1.2 million strategic acquisition that allowed it to compete in a new geographic territory.- I advised a real estate investment firm on the business law components of multiple commercial real estate transactions. This representation included negotiating joint ventures with a financial sponsor, assisting the client with its own investor relations, and negotiating loan documentation with institutional lenders.

As part of The Private Credit Group, I represented financial institutions in a large range of debt offerings to middle market companies.

I handled transportation and environmental policy matters for Senator Tom Carper, including his participation on the Senate Environment and Public Works Committee. Senator Carper is now the lead Democrat on the Senate Environment and Public Works Committee.

I managed the legislative staff of Rep. Ellen Tauscher and handled her transportation and environment policy priorities, which were of particular importance in her San Francisco Bay Area district.

I served as the scheduler and a legislative assistant for Rep. Russ Carnahan.
