Senior Transactional Counsel
CurrentEnergy Project Development and Transactions:• Lead legal support for development, acquisition, disposition, and operation of diverse energy assets, including bioethanol plants, carbon capture and sequestration, low carbon, solar, wind, and battery storage projects• Draft and negotiate complex power purchase agreements (including virtual), transmission agreements, and offtake arrangementsTax Credit Transactions:• Structure and execute tax credit transactions, with a focus on Sec 45Q carbon capture and Sec 45Z clean fuel production credits• Collaborate with tax and finance teams to optimize tax credit monetization strategies• Stay current on evolving tax credit regulations and their impact on project economics, including environmental regulations, renewable energy standards, and biofuel mandatesCommercial and Finance Transactions:• Draft, review, and negotiate complex commercial contracts related to bioethanol, bio-based products, and other renewable energy projects• Oversee project-level documents, including term sheets, commitment letters, loan, and security agreementsJoint Ventures and Acquisitions:• Lead JV&A activities in the renewable energy sector, including due diligence, deal structuring, and post-acquisition integration• Draft and negotiate joint venture agreements in the context of energy asset transactionsStrategic Business Advisor:• Provide strategic legal advice to senior management on renewable energy initiatives and opportunities• Participate in business planning and strategy sessions related to energy asset development and bio-based product expansion• Analyze legal implications of new renewable energy technologies and market opportunitiesLegal Department Management:• Manage and oversee work of outside counsel on specialized matters. Coordinate with internal legal team members on cross-functional projects• Contribute to the development and implementation of legal department policies and procedures
