Legal Operations Associate
Current• Draft and review legal documents integral to Mergers & Acquisitions (M&A) transactions, including asset purchase agreements, stock purchase agreements, shareholder agreements, by-laws, and operating agreements. Also, draft a variety of other agreements and documents, such as contractor agreements, service agreements, leases, promissory notes, security agreements, demand letters, non-disclosure agreements (NDA), privacy policies, and terms of use.• Ensure all documents are accurate, comply with relevant laws, and meet client specifications.• Prepare and file legal documents, including Articles of Organization, Statements of Information, and Beneficial Owner Information Reports, obtain Employer Identification Numbers (EIN), and draft Operating Agreements and Bylaws.• Conduct in-depth research on diverse legal topics, including employment law, contract enforceability, compliance regulations, and trademark registration processes.• Prepare detailed summaries and reports to support case strategies and client advisement.• Manage and organize case files using Clio Manage and Clio Grow, ensuring all necessary documents are up-to-date, easily accessible, and that billable hours and client communication records are accurately tracked.• Coordinate with clients and external parties to gather information and facilitate the timely completion of legal processes.• Collaborate closely with the attorney to discuss legal strategies, document requirements, and case developments.• Draft and send follow-up emails and other correspondence to clients and relevant parties.• Assist in preparing deposition documents, case summaries, and other materials required for legal proceedings.• Participate in daily meetings to discuss ongoing cases, assign tasks, and review progress.
