Supported numerous business units and initiatives, including: • Sales Support - negotiated and executed franchise development agreements for approximately 150 new stores per year; ensured compliance with applicable law; rewrote templates to strengthen legal position while speeding up deal cycle; improved closing process and contract tracking system• Finance - advised finance department on loan compliance, loan modifications, and refinancing; created equipment leasing program; completed $220 million “whole-business securitization” financing• Mergers & Acquisitions - completed sale of company to new private equity ownership in 2009; supported or managed several multi-unit restaurant acquisitions and dispositions• Human Resources - advised on personnel policies and employment law compliance; responded to and resolved EEOC charges• IT - negotiated outsourcing, maintenance, licensing, technology, software, consulting, and other various agreements• Marketing - reviewed advertising; drafted contest and sweepstakes rules; advised on social media issues• Supply Chain / R&D - negotiated supply and distribution contracts, including development of new supply agreement template; negotiated product development agreements; protected proprietary and trade secret products• Real Estate - managed all legal aspects of company real estate prior to recruiting full-time real estate attorney; Supported franchise development and operations, handling legal aspects of domestic and international franchising, including Franchise Disclosure Documents, sales compliance, area development agreements, franchise agreements, defaults, enforcement of brand requirements, work-outs, and terminations.
