Lead counsel for two business units of SPX generating approximately $1 billion in annual revenue for the Power & energy and Food & Beverage industries:• Directed the complete acquisition lifecycle for two $500+ million transactions: o Analyzed, drafted and negotiated acquisition documents and counseled the internal business development team regarding critical legal issues; Transitioned from acquisition to a legal leadership role with the acquired businesses; Drove legal integration for each business, establishing key compliance and commercial processes and supported restructuring activities across several global locations• Initiated training and consultation for core legal policies like FCPA, UK Bribery Act, Anti-Boycott and basic contractual terms and conditions across a global network of businesses including on-the-ground experience in diverse international and domestic locations • Managed a global team of lawyers and contract managers• Illustrative Power & Energy project: managed legal and commercial requirements arising from a $100+ million project to design and manufacture nuclear safety valves for new installations in China and the USA o Directed the project through the design phase, US Dept. of State and Commerce export regulatory regimes, manufacturing / production phase, implementation of US Nuclear Regulatory Commission-compliant programs, and finally technology transfer to the Chinese customer and associated negotiations with Chinese State Owned Enterprises
