AES-NJ Cogen Co., Inc. owns, operates and maintains approximately 100 micro-cogeneration units in the New York/ New Jersey area. The company also owns, operates and maintains several natural gas engine driven chiller projects and several energy efficient boiler plant upgrade projects in the New York/ New Jersey area. Under Mr. Westerhoff’s ownership, as the bona fide licensed plumber representative and majority stockholder, the company is a licensed general and mechanical contractor in the City of New York, a licensed master plumbing contractor, a licensed backflow prevention device testing contractor and public works contractor in the State of New Jersey. In the past, the company has performed numerous energy cost savings and energy cost containment feasibility studies for NYSERDA, as a sub-contractor for Malcolm Pirnie Engineers, Inc., including several pulp and paper mill projects in the Adirondacks, a feasibility study for NYSERDA to de-centralize the downtown Buffalo steam distribution system and several smaller projects in the downstate area. In 2002, AES-NJ entered into an agreement with American DG Energy, Inc., a public company with stock currently traded on the NASDAQ, to jointly develop, own and operate energy cost savings projects in the New York/New Jersey metropolitan area. A special purpose company, American DG New York, LLC was subsequently formed in 2002. AES-NJ is a 49% equity owner in the company. AES-NJ currently has in excess of $ 7 million invested in the company, which owns approximately 45 operating assets. AES-NJ is responsible for the operation and maintenance of the majority of the assets.

Activities on this project included preparation of all necessary design and documentation to achieve approval by the California Energy Commission, all contract negotiations with the Sacramento Municipal Utility District, as power purchaser and project owner, development of project financing plan and implementation thereof, development and execution of project EPC contract with Black and Veatch Company and oversight of construction activities. The project budget during the development period of the cogeneration project was approximately $ 20 million. Work on the project during the development period included direct oversight and supervision of the project law firm, Morrison and Foerster, San Francisco, California, direct oversight and supervision of the development period engineer, Black and Veatch, Kansas City, Kansas, direct oversight and supervision of the permitting consultant, Malcolm Pirnie Engineers, White Plains, New York as well as implementation of a project required MBE/WBE participation agreement. As director of Project Development at Siemens Power Ventures, Mr. Westerhoff was responsible for negotiation and execution of project financing agreements including multiple $ 25 million+ subordinated debt and equity investment agreements and $ 140 million+ non-recourse project financings. Projects implemented included a 79.9 MW cogeneration project at New York State Fairgrounds, Syracuse, New York, a 79.9 MW cogeneration project at Champion Paperboard, Beaver Falls, New York and involvement in the 286 MW cogeneration project located at Brooklyn Navy Yard, Brooklyn, New York.

The 95 MW Independent Power Production project was intended to sell its electric output to Orange and Rockland Electric Company under a long term power purchase agreement. The work on the project involved, negotiation and execution of a PILOT agreement with the Town of Walkill, New York, negotiation and execution of Columbia Gas Transmission bypass natural gas line extension, including acquisition of rights-of-ways from Ramsey, New Jersey to Wallkill, New York. Negotiation, execution and NYPSC approval of power purchase agreement, development and implementation of project permitting plan and development and implementation of non-recourse project financing plan. The project budget during the development period was $ 15 million.Other Projects in which Mr. Westerhoff was involved included (i) a 500 MW, coal fired, mine mouth cogeneration project in the Dallas, Texas area, (ii) a 300 MW, natural gas fueled combustion turbine project in the Reston, Virginia area and (iii) an 80 MW antrhacite culm waste coal fired project in Hazleton, Pennsylvania.
