I am a member of Eversheds Sutherland’s Energy and Environmental Practice Group and Corporate Practice Group, focusing my practice on finance. My experience includes both lender and borrower representations in senior, second lien and subordinated commercial financings; project financing; public, pollution control and industrial revenue bond issuances; structured financings of inventories; commercial paper offerings; lines of credit; letter of credit transactions; sale and lease-leasebacks; and government-guaranteed financings. I also have experience with long-term corporate financing, secured and unsecured, public and private; and structuring, negotiating and documenting intermediate and long-term purchases and sales of electricity (including tolling, power purchase and load serve arrangements) and construction, operation, maintenance and purchase/sale of generating assets.A few examples of my experience include serving as counsel to:-a bank for more than 20 years regarding its national, direct and syndicated, communications lending activities.-a borrower in an unsecured $1.265 billion syndicated liquidity facility.-to multiple issuers in both direct and agented secured private placements totaling approximately $1.5 billion.-multiple issuers on commercial paper programs and back up lines of credit.-an administrative agent in syndicated, secured, first and second lien acquisition financing and refinancing of approximately 228,000 acres of forestland in Georgia and Alabama of approximately $220 million. -a restaurant chain borrower in a secured $140 million syndicated credit facilities.-electric utilities and investment banks in the development of and debt issuance under mortgage indentures.-generation and transmission cooperatives for more than 25 years in their finance activities including lines of credit, long-term private and governmental financings, and commercial paper programs.-an investment fund on its securitized warehouse facility.
