  I advise broker-dealers, banks, private fund issuers, fintech companies and other parties concerning the rules and regulations of the SEC and FINRA and other laws and regulations affecting their businesses. I assist broker-dealers in registering, making Rule 1017 change-in-control or material business change filings and responding to examinations, investigations and enforcement actions. I represent underwriters in filings with the FINRA Corporate Financing Department. I advise parties to merger and acquisition transactions involving FINRA member broker-dealer firms. I also advise fintech startups in the digital assets, blockchain and securities offering and trading platform businesses in negotiating the maze of regulations applicable to them.I am the past chair of the NYSBA Securities Regulation Committee and the NYSBA Business Law Section.
