I specialise in all aspects of corporate work including mergers, acquisitions and disposals, MBOs and MBIs, reorganisations and restructuring, IPOs, general fundraising, equity investments, joint ventures, shareholder agreements and general corporate governance matters.Notable transactions include:Advising a FTSE 100 listed company on the reorganisation of its UK group with the aim of creating a simplified layered corporate structure. The restructuring enabled the group to ultimately liquidate 12 dormant companies and 13 of its 25 main trading UK companies, thereby reducing their UK group from 6 to 4 tiers;Advising biotechnology company, F2G Limited, on a private equity funding round of £18.8m to develop its range of anti-fungal drugs. The transaction was shortlisted at the 2012 Annual Bionow Awards for “Investment Deal of the Year” and F2G was shortlisted for biotech “Company of the Year”;Advising the shareholders (including institutional shareholder, Royal Bank of Scotland’s Strategic Investments Group) on the sale of Lock Inspection Holdings Limited and its group to ITW Limited, a UK subsidiary of US listed and Fortune 200 company, Illinois Tool Works Inc.;Advising a purchaser on its acquisition of the £80m turnover recruitment outsourcing group, Oriel, and an investment by private equity business, Energize Capital;Advising national retailer Go Outdoors Limited in connection with private equity house, 3i’s, £28m investment, a transaction that was awarded “Deal of the Month” by Insider Magazine;Advising BASF Plc on the disposal of its biggest UK manufacturing facility, Seal Sands, to INEOS;andAdvising previously listed AIM company, Hasgrove, on its IPO and on numerous UK and cross border acquisitions and disposals.
