I was retained by Wagamama to assist them in the sale of the business from their PE owners Duke Street.My responsibilities included: co-ordination of external financial and commercial due diligence teams; day-to-day liaison between external advisors and management; preparation of support materials required for deal documentation including Information Memorandum, due diligence reports, investor marketing presentation and dataroom; conducted various financial analysis on the business including ROI, run-rate, commercial analysis, valuation; reviewing and advising on transaction issues including SPA and management warranties; liaison with buyer team and advisors on documentation require for Class 1 acquisition prospectus, including managing audit thereof.Wagamama is a leading pan-Asian restaurant brand operating primarily in the UK casual dining market. With 133 restaurants in the UK, 5 in the US and 58 franchised restaurants across EMEA, it generated revenues of £307m in 2018. In December 2018 the business was sold to the Restaurant Group Plc, one of the UK's largest independent restaurant groups and listed on the UK Stock Exchange.
