Working with Baker Tilly (a global top-10 accounting firm), I provided clients with executive level advice and support in relation to mergers and acquisitions, equity and debt financings, management buyouts and a broad range of corporate restructurings. Cases included:▪ Due diligence and investment structuring for a media group acquiring controlling stakes in Chinese media assets, prior to listing of the group itself on the HK stock exchange.▪ Unwinding the failed merger of a 100-person ERP systems integration firm, and subsequent sale of the company to a US security and systems integration group.▪ Support for a US travel technology integrator evaluating and effecting acquisitions in HK/PRC.▪ Managing the exit of a hostile Series A shareholder for a marketing agency, and restructured the company for a further Series B refinancing.▪ Advising a group of 26 banks in relation to divestment of a controlling stake in a HK/PRC manufacturer of optical products.▪ Support in relation to the management buyout and restructuring of a 30-person finance leasing and consulting group.
