With decades of expertise in real estate transactions, corporate governance, asset management, financings and business transactions, I deliver strategic, value-added solutions tailored to the needs of my clients. Transitioning from an in-house role to outside counsel has enabled me to maintain a close partnership with Tides Equities while leveraging the broader resources and expertise of my firm, and expanding my client base.

As SVP, Assistant General Counsel of Tides Equities, a preeminent Commercial Real Estate Investment Company, I partner to lead and manage all legal aspects of the business. With decades of experience in real estate, corporate governance, asset management, and business transactions, I create sound, value-add solutions for our company, its investors and partners.

While at ExchangeRight Real Estate, I showcased skills in directing the Legal Department while also serving as a part of the senior leadership team. I grew the team to a group of seven professionals and provided guidance and supervision to the new legal associates. I supported the acquisition and management of 700 operating properties, covering 14 million sq. ft. across 40 states. I managed a fast-paced, high-volume deal flow, with responsibility for mitigating risk and managing real estate transactions through post-closing, including drafting and negotiating purchase and sale agreements and commercial leases, closing acquisitions and dispositions, closing asset-based financing, and providing legal counsel to senior management. Noteworthy * Contributed to decision-making related to REIT, 1031 DST, and other investment portfolios comprising $3B in multi-family and investment-grade retail and healthcare assets.* Negotiated more than 325 purchase and sale agreements.

As Senior Counsel for Sklar Kirsh LLP in the Real Estate Department, I represented public and private companies in a broad array of industries including real estate, hospitality, retail, and banking. I specialized in real estate and general business matters, and handled a broad range of real estate transactions, including acquisitions and dispositions, joint ventures, commercial leasing, financing, and served as external general counsel.

As the Founder and Managing Attorney, I served high-end accounts including entrepreneurs, executives, and investors to provide legal advice and counsel on matters of asset acquisitions and dispositions, finance transactions, joint ventures, strategic alliances, licensing deals, real estate transactions, and commercial agreements. Additionally, I played a key role as external General Counsel to a number of clients and served a variety of industries including real estate, hospitality, retail, entertainment, marketing & advertising, apparel, consumer products, e-commerce, and healthcare.

I served as lead attorney and oversaw the legal aspects of originating debt, equity capital, and real estate transactions. I developed complex investment vehicles for all acquisitions and development deals while ensuring corporate compliance throughout the processes. I executed operations including structuring and negotiating acquisitions and dispositions as well as negotiating and finalizing entertainment agreements. Moreover, my accountabilities included securing company marks as well as intellectual property to avoid infringement.

As Senior Counsel in the Development Practice Group, I was responsible for Canadian, Caribbean and Latin American legal matters. I provided substantive legal advice to senior management in the areas of real estate development, hotel management, joint ventures and related financing arrangements. I regularly drafted and negotiated legal documents, including Hotel Management Agreements and residential-related legal documentation, while ensuring compliance with U.S. and local laws and optimizing the deal structure for operational and tax efficiencies. Additionally, I managed outside lawyers providing support to managed hotel development.

During my tenure at Westfield, I represented the largest retail property group in the world. My responsibilities included all aspects of acquiring, developing, managing and leasing regional shopping malls. I negotiated and drafted acquisition agreements, finance documents, joint venture agreements, real estate leases, marketing and commercial agreements; and supported due diligence efforts in connection with the acquisition and divestiture of real estate. I created and implemented consistent legal standards across all business groups and assumed responsibility for 1st Amendment issues. I worked in regular partnership with the tax group to address REIT issues and other corporate restructuring matters. My portfolio included key corporate responsibilities as Assistant Secretary, oversight on all intellectual property issues, employment legal matters and advertising matters. * Notably, I was recognized as Employee of the Year for assuming the management of company litigation and significantly reducing outside counsel fees.

Practice included representing companies of all sizes to develop and implement creative solutions for clients' business and legal needs. Experience includes conducting due diligence and drafting documents related to: initial public offerings, private offerings of preferred stock, mergers and acquisitions—with values up to $2b, proxy contests, consent solicitation matters and other regulatory filings required by the Securities Act of 1933 and the Securities Exchange Act of 1934. Worked extensively with media, entertainment and telecom clients performing general corporate and securities transactions work including drafting commercial agreements and advising non-profit corporations. Noteworthy transactions include acting as lead diligence counsel for a REIT in connection with a $1.5 billion sale of 17,383 apartment units.
