• Serves in the role of Lionsgate's first Chief Ethics and Legal Compliance Officer, tasked with overseeing, building out and centralizing the Company's employment law, data privacy, ethics and legal compliance functions.• Acts as an independent evaluation and review body to ensure that incidents and compliance concerns within the company are evaluated, investigated and resolved in a confidential, objective and independent manner;• Reports on matters related to the foregoing to the Company's Board of Directors (Audit & Risk / Corporate Governance Committees);• Develop and deploy implementation of the Company's Code of Business Conduct & Ethics across the organization in collaboration with other areas such as Risk Management, Legal, Internal Audit, ITand HR.

• Advises on labor, employment, corporate governance, executive compensation, data privacy and compliance issues related to pending mergers/acquisitions and subsequent business integration;• Provides legal support, strategic advice and deal analysis on all employment-related matters to the corporate senior executive team and internal stakeholders, including the sales, distribution, production, business development, programming, technology, marketing, finance, data and operations teams;• Partners with and provide practical and strategic advice to the domestic and international production executive teams on all aspects of labor and employment law, including, but not limited to, investigations, intellectual property, social media, employee relations, executive compensation, discrimination/harassment, terminations, leaves of absence, accommodations, compliance, hiring, data privacy, immigration and best practices;• Supports launch strategy (in conjunction with the business development and operations teams) of various OTT platforms including Comic-Con, Tribeca Shortlist, Pantaya and Laugh Out Loud Network;• Counsels business units regarding domestic and international employment restructuring efforts;• Partners with international expansion teams (offices of note: Hong Kong, China, India, Luxembourg and Canada) comprised of tax, accounting, finance and human resources executives in support of business development initiatives;• Supports internal (both corporate and production) employment law, data privacy and compliance training programs;• Structures and negotiates and draft a high volume of executive-level employment, employment-to-producer; independent contractor, equity, long-term incentive plan, vendor and waiver/release agreements; and,• Develops and drafts employment, corporate governance, data privacy, intellectual property and other related policies.

• Advised companies of all sizes on proactive compliance with employment laws and litigates in Federal Court/California Superior Court with a focus on harassment, discrimination, and wage/hour class actions.• Consulted extensively with employers' insurers to analyze risk, liability and potential damages.• Defended employment actions under the Fair Employment and Housing Act including gender, pregnancy, race, ancestry, color, religion, age, national origin, sexual orientation, disability, wrongful termination claims, whistleblower claims, and retaliation matters.• Prioritized and managed a high-volume caseload efficiently and smoothly.• Provided extensive client counseling on employment risk management strategies.

• Represented employers in state and federal wage and hour class actions and single-plaintiff actions involving discrimination, harassment, defamation, wrongful discharge and retaliation claims.• Conducted legal research and drafted motions for summary judgment, motions to compel discovery, arbitration briefs, position statements and memoranda regarding wage and hour claims. • Orchestrated large-scale international employee outsourcing projects to assist with client restructuring efforts. • Defended several hospitals in connection with unfair labor practice/relations charges before the NLRB.• Served as second-chair trial counsel in a complex prisoner rights case in Illinois Federal Court.• Defended a three-day arbitration on a discipline/defamation claim and obtained judgment for the employer.• Advised clients on domestic and cross-border issues, including personnel policies and employee handbooks and negotiated offer letters, employment contracts, employee privacy and reductions in force.
