As the Associate General Counsel of SHPS/Carewise Health, I was responsible for providing legal advice on a wide range of topics. Key accomplishments include:- Advise Executive Management team on issues of contract interpretation, employment matters, corporate governance and internal controls.- Successfully negotiated agreements for health care and employee benefits subsidiaries with governmental and commercial customers with annual contract values ranging from $100,000 to over $10M.- Responsible for negotiating License Agreements for SHPS' medical management software subsidiary with an aggregate total contract value of over $25M.- In-house counsel for SHPS' mergers and acquisitions activities, including the acquisition of a public company in a transaction valued at over $50M.- In-house counsel supporting negotiation of SHPS' senior secured credit facilities (including both term and revolving loans).- Negotiated real estate leases for SHPS facilities located throughout the United States.
