Sector: Mass Transit Infrastructure Projects- Handling international operation and maintenance (O&M) transport projects in North and South America (Canada, USA, Argentina), the European Union (Sweden, Norway, Denmark, Netherlands), Asia (India), across the entire mobility chain (rail, light rail, metro, bus, bikes, parking) and through varied procurement options (PPP, DBOM, DBFOM, concession, service contracts, alliance contracts, etc.);- Definition of the legal bid strategy in close cooperation with the bid team on various matters (corporate structure, partnerships, subcontracts, etc.);- Negotiating, drafting and reviewing set of contractual documents (shareholders’ agreement or other grouping agreements (JV’s/Consortium), interface agreement, subcontracts (maintenance, vehicle supply), consultancy agreement, MOUs, NDA, etc.);- Negotiating, drafting and reviewing financing agreements (lease, etc.) and guarantees (bid bond, parent company guarantee (PCG), parent company support, performance bond, advance payment bond; etc.);- Analyzing tender documentation (request for qualification (RFQ), request for proposal (RFP));- Drafting legal risk matrix for steering group, top management, shareholders’ committees;- Ensuring regulatory and anti-corruption compliance (US FCPA, UKBA, etc.);- M&A : Drafting and negotiating IOI, LOI and share purchase agreement, due diligence, closing and integration;- Liaising with and managing external counsels (international law firms) and other advisors or consultants;- Managing disputes, claims and other pre-contentious issues, together with contract managers.

- Drafting submissions in several international arbitration, dispute adjudication board (FIDIC contracts) and litigation proceedings (ICC, ICSID, ICSID Annulment, commercial jurisdictions [UK and France]), hearings preparation (pleadings, cross examinations), rehearsal with witnesses and experts, participation in the hearings; - Drafting, reviewing and negotiating partnership contracts (SHA, MOU, JV, etc.), EPC, EPCM, production sharing contracts (mining, oil & gas), consultancy agreements, MOUs, NDAs in various procurement frameworks (PPP, concessions, etc.), jurisdictions and industries (energy [renewables, oil & gas], transport, lighting, etc.);- Drafting legal memoranda on pre-arbitration/pre-litigation strategy.

- Drafting submissions in ICC and ICSID arbitration proceedings, hearings preparation (pleadings, cross examinations), rehearsal with witnesses and experts, participation in the hearings; - Advising on pre-arbitration issues (DAB, provisional measures, negotiation, ADR), selection of DAB members, arbitrators and experts;- Preparation of events and articles on international dispute resolution issues.
