Secondment:• Advising commercial teams in New York and Paris on legal structures to minimise legal risk on transactions involving potential regulatory matters in France and in the U.S.;• Coordination of cross-border securitisations structured and placed by IXIS Capital Markets New York (CDO technology, RMBS Securitisation, CLO)

Advised on and managed the legal aspects of a large number of capital markets transactions across Europe and in the U.S. including:• advising commercial teams on legal structures to implement the most efficient bond issuance for external clients;• drafting and negotiation of term sheets, mandate letters, fee letters, confidentiality agreements, letter of intention, memorandum of understanding, pricing supplement, stand-alone prospectus, purchase agreement for private transactions arranged for the bank’s own account or for external clients ;• reviewing and negotiation of subscription agreements, prospectus, agency agreement, debt programme issuances; and• instructing and managing external legal counsel in relation to the drafting of finance documents, the taking and perfection of security and the issuance of legal opinions Sample of transactions• Structured bonds issues such as the Pylon transaction (insurance linked transaction for EDF that covers potential effect of windstorms over landlines owned by EDF).• Debt restructuring for French regulated entities and municipalities (City of Marseille).• Public Offers Exchange and Public Offers led by IXIS Corporate & Investment Bank such as the Public Offer Exchange arranged for the Caisse Nationale des Autoroutes.
