I lead the legal function at Sugar, as we continue to grow our SaaS business, handling all areas listed above in the "About" section above as they pertain to Sugar.

PLOS is the world's largest open access publisher of scientific and medical research. As General Counsel and Secretary, I lead the legal function of this non-profit, including corporate governance, licensing, intellectual property, litigation, regulatory compliance, real estate, counsel to the CEO, Board of Directors, and executive team, and support for all organizations within the company including engineering, product development, marketing, and human resources.

Rovi, (prior to acquiring Tivo and its DVR business and patents), licensed interactive program guides for television, the patents covering that technology, tv listings metadata, and software enabling content recommendations, advertising, and other functionality, along with other lines of business. I managed a team of 18, including a dozen lawyers and other staff, and was responsible for IP, licensing, litigation, compliance, privacy, employment, securities, and aspects of M&A. I also supported sales, marketing, corporate development, engineering, and HR. The IP reforms I initiated and the resulted in broader, deeper, and more licenseable patent and trademark portfolios, and I was integral in negotiating, drafting, and closing high-value (eight- and nine-figure) license deals. I also managed a heavy slate of patent, commercial, and other disputes, resulting in key victories, new patent and product licenses, and on the defensive end protecting the company against big judgments and potentially show-stopping injunctions. I advised and supported our GC, CEO, the Board, and and other executives on a wide variety of legal matters, and was instrumental in the growth and success of the company during my tenure.

Head of litigation and IP protection world-wide. Managed IP, commercial disputes, antitrust and anti-competition, employment, and other issues and disputes, with excellent results. Negotiated IP and software licenses and litigation settlements.Designed and implemented legal strategies and processes to protect the company's assets and guard against competitive threats and risks.Provided reliable and consistent counsel to senior management and business units on legal risks and changes to the law.Developed effective training programs for employees company-wide on protection of assets, consumer data, privacy, and antitrust issues.Developed successful anti-piracy enforcement program and represented the company in related organizations and in government affairs.

At Cooley, I represented Fortune 500 companies in high-stakes commercial and IP litigation and trials. I was a key member of a team that won cases on behalf of Amgen that enabled it to bring new drugs to market and that were worth billions of dollars to the company. I managed cases and compliance for several tech clients, protecting their trademarks and domain names from infringement and theft. I supervised litigation teams and mentored junior attorneys in litigation and other matters.I devised the winning theory of trespass to chattels in the eBay v. Bidders Edge case in the U.S. District Court for the Northern District of California, a theory subsequently much written about and used in other cases involving the impact of third party behavior affecting computer systems.
