I advise clients on mergers and acquisitions, business formation, corporate governance, equity and debt financing, and commercial contracts.

In this role, I helped negotiate and prepare agreements on corporate governance, stock transactions, financing, and other commercial transactions. I also worked closely with the management and operation teams to navigate legal issues ranging from trade regulations to FDA and data privacy compliance matters.

In this role, I worked with trust and wealth management companies and banks to help high net-worth clients on U.S. business formation, corporate governance, tax and estate planning, etc. I also worked with institutional trustees on forming charitable trusts and made the firm the top national charitable trust protector.

During my 3-month externship, I assisted the General Counsel of the WA State DFI in efforts to reform the state banking law by conducting a comprehensive 50-state survey of state-chartered bank M&As, conversions, and regulatory rulemakings. I also helped analyze key issues in connection with a high-profile administrative appeal and conducted research on various assigned issues regarding financial regulations.

During my internship at DWT, I assisted two M&A partners with launching the Pacific Rim M&A Institute (“PRMAI”) and maintained M&A news and blogs on PRMAI’s website.

During my summer term at KWM, I conducted due diligence and drafted due diligence reports for two major transactions: (i) Huayi Brothers Media Corporation’s first private offering and (ii) Hony Capital and Goldman Sachs’s investment in Neusoft Corporation’s medical and healthcare assets. I also reviewed early-stage agreements for New Zealand’s Fonterra Co-operative Group Ltd’s stock acquisition of Chinese Beingmate Baby and Child Food Co. Ltd.

In this role, I managed and oversaw purchase and sales, logistics, and accounting, and helped the Company expand its international market by acquiring international suppliers and buyers.
