- Draft memoranda and advise league and club executives on a wide range of topics (e.g., internal governance issues, territorial disputes, IP matters, vendor agreements, and employment issues).- Negotiate, draft, and review national sponsorship agreements, leases, event services/management agreements, IP licenses, liability waivers, and other types of commercial agreements needed to support all of MiLB’s business units, as well as 160 MiLB clubs.- Thoroughly vet potential club owners and independently review complex club transactions, including club sales, relocations, and ownership restructurings, for compliance with governing rules.- Manage all aspects of trademark portfolio consisting of over 2,000 league and club trademarks, including searches, registration applications, Office Action responses, renewals, and co-existence agreements.- Draft license agreements and cease and desist letters protecting the IP of MiLB and its member leagues and clubs.- Develop relationships and negotiate agreements with prominent IP rightsholders (e.g., Marvel, Nickelodeon, and FOX) to allow clubs to host theme nights around their properties.- Draft agenda, minutes, and resolutions for Board of Trustees and Council of League Presidents and complete annual business filings for MiLB and its affiliated companies.- Draft league-wide policies and procedures related to sports betting, specialty jerseys, facility standards, and more.- Draft and review clubs’ sweepstakes and contest rules, ticket-back language, and radio and television contracts. - Draft annual State of MiLB Report informing executives about the state of the industry and performance of MiLB’s subsidiaries.- Plan and execute MiLB PAC fundraising and league-wide Congressional lobbying efforts, which has led to the passage of Congressional legislation on multiple occasions.- Communicate daily with owners and executives regarding the most confidential and important matters affecting the industry.
