I regularly advise banks and other lenders, and public and private borrowers and issuers, in structuring, documenting and administering a wide range of complex finance transactions, including:• Secured and unsecured, senior and subordinated, investment grade and below investment grade, revolving and term, syndicated, participated and bilateral, and domestic, international and multicurrency credit facilities and indentures; • Acquisition financings, including for private equity sponsors acquiring portfolio companies; and• Securitizations and other structured finance transactions, including securitizations of a variety of asset classes (such as trade receivables, student loans, credit card receivables and health care receivables), equipment lease financings and mortgage loan repurchase facilities.I am the Chair of the Firm's Food and Beverage Law Practice, as well as one of the leads of our Craft Brewery, Distillery and Winery Law Practice. These are multi-disciplinary teams, made up of attorneys who deliver informed, creative solutions to companies that produce, distribute or sell food and beverages and related products (for example, suppliers and equipment manufacturers). Our teams assist with matters ranging from food safety, labeling and intellectual property through the full suite of contract and transactional work.In addition, I counsel end-user clients and community banks on Dodd-Frank regulatory compliance matters concerning swaps and derivatives and have negotiated a variety of swaps and derivatives. (This is a nice tie-in with my work in the craft beer industry, because the Dodd-Frank regulations have driven many people to drink.)I also have extensive experience negotiating and delivering true sale opinions and non-consolidation opinions.
