I am a Shareholder in Trenam Law's Business Transaction Group where my practice focuses on a variety of corporate, securities and business law matters. My typical transactions include mergers and acquisitions, venture capital, angel and private equity transactions, private placements of debt and securities, corporate and real estate joint ventures, commercial finance transactions (including asset-based, cash flow and leveraged acquisition financings in syndicated and bilateral credit facilities), private fund formation and regulation, and intellectual property licensing transactions. I am also engaged in general business matters for my clients, including drafting and negotiating commercial contracts, employee-related agreements, and equity compensation plans. I have a broad array of clients, including operating businesses, financial sponsors, private funds, startups, investors, lenders, entrepreneurs, senior executives, real estate developers, franchisees, high net worth individuals, and creators of non-fungible tokens (NFTs). In representing clients, I am involved in all aspects of negotiating and documenting transactions, including conducting due diligence and managing the overall transaction from term sheet to closing.In my free time, I'm either spending time with my family, training for my next Ironman 70.3, being involved in the startup and investment community, or planning my next vacation.
