• Commercial real estate transactions within office, industrial, retail, multifamily and mixed-use projects, including leasing, acquisitions, dispositions, financing, land use, construction and real estate development matters• Draft, review, and negotiate complex real estate leases, subleases and related agreements• Draft, review, and negotiate real estate purchase and sale contracts and manage transactions from contract preparation to closing, including title and survey review and objections, preparation of closing documents and closing statements, and coordination of closings with title companies• Draft, review and negotiate ancillary real estate documents (letters of intent, lease amendments, assignments, terminations, easements, license agreements, property management agreements, brokerage agreements, SNDAs, and estoppels)• Draft, review and negotiate loan documents, including term sheets, loan agreements, guarantees, indemnity agreements, deeds of trust, promissory notes and other ancillary loan documents• Draft, review and negotiate operating agreements, partnership agreements, joint venture agreements, private placement memorandums, subscription agreements and related investor documents
