This means that they need an attorney who is well versed in Delaware Corporate Law and intimately familiar with Delaware’s Court of Chancery. For more than 20 years, I have been applying all that I have learned about my clients’ businesses to ensure they attain both their legal and business goals for each situation. I am passionate about discovering and understanding each entity’s governance structures and issues in order to help it navigate the complex corporate laws of Delaware and the unique aspects of the Delaware Court system either as a trusted advisor or as a trial attorney in both state and federal courts. What I Do:I counsel Delaware Corporations, Boards of Directors, Individual Directors and Committees of Boards to address the intricate issues of corporate governance including:• Stockholder demands;• Actions to compel annual meetings including virtual annual meetings during the time of the pandemic;• Proxy Contests; In addition to serving as an advisor, I have extensive experience representing my clients in the Delaware Courts in, for example: • Stockholder class and derivative litigation;• “Books and Records” litigation;• Dissolution of a corporate entities; and • Contractual and Commercial Disputes. As an avid horseman since childhood, you’d be surprised what owning and riding horses has taught me about life and about practicing corporate law.
