Rick Alexander is the founder of The Shareholder Commons, an organization dedicated to creating responsible ownership throughout the investing chain. Prior to founding TSC, Rick served as Head of Legal Policy at B Lab and spent 31 years at Morris, Nichols, Arsht & Tunnell LLP practicing corporate law, including four years as managing partner. Rick chairs the Delaware Access to Justice Commission Funding Subcommittee, serves as Treasurer of the American College of Governance Counsel and Secretary of the Transgender Legal Defense and Education Fund, and is a member of the Commonwealth Climate and Law Initiative Advisory Board, a Research Fellow of British Academy Future of the Corporation Program, and a member of the Advisory Council of the Program on Purposeful Ownership at the Said Business School, Oxford.For over 15 years, Rick has served as a member of the Delaware Corporation Law Council, the body responsible for maintaining the Delaware General Corporation Law, the nation’s premier corporate statute. He has served as Secretary, Vice-Chair and Chair, roles for which he has testified multiple times in the Delaware General Assembly. In his work for the Council, Rick played a leadership role in drafting and shepherding important corporate legislation, including provisions protecting shareholders from mandatory arbitration, enabling proxy access, implementing majority voting and authorizing public benefit corporations, Delaware’s version of the benefit corporation. Rick also served for eight years on the ABA Corporate Laws Committee, where he was the chief draftsperson of the White Paper on Benefit Corporations. As a member of the ABA Federal Regulation of Securities Committee, Rick worked closely with SEC staff on matters that concerned the overlap of state corporate and federal securities law. In private practice, Rick advised multiple companies on the Rule 14a-8 “no-action” process that determines whether companies must include shareholder proposals in their proxy statements.Named as one of the ten most highly regarded corporate governance lawyers worldwide, Rick has written three books: Benefit Corporation Law and Governance: Pursuing Profit with Purpose; The Public Benefit Corporation Guidebook; and The Delaware Corporation. He has published articles in the Oxford Review of Economic Policy, Harvard Business Law Review, Journal of Applied Corporate Finance, Business Lawyer, Stetson Law Review, Seattle University Law Review, Business Law Today, Delaware Journal of Corporate Law, and the Review of Securities and Commodities Regulation.
