Imperial Oil is one of the leading producers of crude oil in Canada, a major producer of natural gas, the country’s major refiner and marketer of petroleum products, and a significant presence in the petrochemical industry. Imperial is controlled by Exxon Mobil Corporation, the world’s largest publicly traded company, which has operations in more than 200 countries and territories around the world. Imperial’s business operations, combined with its relationship with ExxonMobil, allowed me to act as counsel to a variety of business groups in a diverse portfolio, with a focus on corporate and commercial work.

Exxon Mobil Corporation is the world’s largest publicly traded integrated oil company. As legal counsel, I acted for a wide variety of functional organizations in a corporate/commercial context. A brief summary of my role is as follows: - Provided primary legal support and strategic advice to clients in Downstream, Midstream and Corporate functions.- Significant transactional experience- Negotiation and drafting of a variety of commercial contracts- Proven track record of building and maintaining trust with internal and external stakeholders- Preparation of a broad range of financing and security documentation- Advised clients on regulatory and compliance issues, including supply and transportation, customs, competition law and anti-corruption compliance- Acted as Canadian legal advisor on multi-jurisdictional matters for ExxonMobil, including multinational transactions, cross-border insolvencies, tenders, antitrust issues, supply agreements, global initiatives and anti-boycott legislation- Experience managing outside counsel to obtain solid results while controlling costs- Advised clients on various marketing and intellectual property issues (Mobil and Esso branded products)- Preparation of required filings with the U.S. Securities and Exchange Commission including Annual Form 10-K, Quarterly Form 10-Q, and Form 8-K (material events)- Drafting and filing of required Canadian disclosure, including all reporting under National Instrument 51-101- Assisted in structuring corporate governance and planning for board and shareholder meetings, including the Annual General Meeting- Ensured compliance with legal, regulatory and listing requirements
