Clients are structured for success by focusing business formation on the proper allocation among partners and investors of profit and control, keeping the client’s needs and goals in mind. 2. As the business grows, Tomlinson Advisory provides (i) transaction services such as acquisitions, adding partners and investors, capital raises and joint ventures, and (ii) general corporate services such as contracts with suppliers and customers, employee hiring, retention and departures and intellectual property issues and protection. 3. When clients are ready to exit, Tomlinson handles all or part of the transaction, as requested by the client. Services can include: structuring the deal, negotiating and drafting purchase and sale agreements, conducting self or reverse due diligence, helping value indemnification and other “legal” aspects of consideration, and providing insight on the motivations of private equity and strategic buyers.
