Wine authentication services, assistance buying and selling fine wine, and wine cellar management

Represent clients in corporate investigations and state and federal commercial litigation (including intellectual property, SaaS, and contract issues), employment litigation (including sexual harassment and FLSA issues), construction litigation (including cases involving MEP design issues, architectural/interior design issues, site engineering issues, geotechnical issues, curtain wall issues, performance and payment bond issues), and insurance litigation. Manage litigation from commencement and development of case strategy through favorable resolution of state and federal actions including, but not limited to, preparing litigation reports and case budgets, coordinating internal discovery and electronic discovery, and drafting pleadings, motion papers, and litigation-based agreements. Counsel clients on implementation of procedures to prevent litigation.Advise clients on issues concerning compliance with industry specific legislation.Negotiate and draft/revise various agreements for clients in the construction, petroleum, consulting and retail industries including various AIA contracts, mechanic's liens, completion agreements, takeover agreements, escrow agreements, collateral security agreements, forbearance agreements, trust account agreements, real estate collateral agreements, promissory notes, mortgages, contractor/surety agreements, sales agreements, vendor agreements, distribution agreements, supply agreements, consulting agreements, confidentiality agreements, non-disclosure agreements, transportation/shipping agreements, hold harmless and indemnification agreements, non-compete agreements, facilities use agreements, commercial leases, broker commission agreements, and warranties.
